The capital contribution deadline is 23 October 2026

Companies registered in Laos before 23 October 2025 must fully contribute their registered capital by this date, or risk suspension of their Enterprise Registration Certificate.

23 Oct 2026

Final date for companies registered before 23 October 2025 to fully contribute their registered capital.

The Ministry of Industry and Commerce (MOIC) issued Instruction-Notice No. 1243/ERMD, dated 8 June 2026, setting firm deadlines for capital contribution across all registered enterprises. The notice is designed to bring consistency to how enterprise registration offices monitor and enforce capital contribution nationwide.

Who the deadline applies to

Registered before 23 Oct 2025

Must fully contribute registered capital no later than 23 October 2026.

Registered on/after 23 Oct 2025

Must fully contribute registered capital within 1 year of the date shown on the Enterprise Registration Certificate (ERC).

Notifying MOIC once contribution is complete

Once a company has fully contributed its registered capital, it must notify MOIC by submitting the prescribed application form together with supporting documents, which typically include a copy of the ERC, share certificates, bank confirmation of paid-in capital, and, where relevant, documentation of capital transferred from abroad, etc.

What happens if a company misses the deadline

A company that does not confirm its capital contribution by the applicable deadline will receive a formal warning from MOIC. From the date of the relevant deadline, the company has 60 days to complete the contribution and notify the registration office.

If a company still fails to comply within this additional 60-day period, MOIC will suspend the use of its Enterprise Registration Certificate — meaning the company can no longer lawfully operate until the matter is resolved. A suspended company may still act to remedy the breach or file for dissolution.
